RequestFill Inc. or RequestFill.com (Herein referred to as "RequestFill")

This page states the "Terms and Conditions" under which RequestFill is governed. By using RequestFill services, you accept these Terms and Conditions and agree to be bound by them. Should a change to these Terms and Conditions occur, those changes will be reflected on this page so that you are always informed.

1. SERVICES

   RequestFill provides a service that allows requesters to submit requests for service to multiple providers. Our multi-dimensional match engine asks a series of questions specific to the services you are interested in and then attempts to match you with the service providers who most closely meet your requirements. While every attempt is made to ensure the quality and accuracy of service provider profiles we do not guarantee information regarding a provider. You should exercise as much caution as you would typically with any purchase of products or services. Concerns with accuracy of provider profile should be reported to support@requestfill.com. If you have a dispute with any provider, you must address such dispute directly with the provider. You hereby agree to release RequestFill (and our employees and agents) from any and all damages or claims (including consequential and incidental damages) arising out of or in any way connected with such disputes and your transactions with providers.

2. REQUESTFILL ACCOUNT VERIFICATION FEE

   Providers who register with RequestFill are required to pay a one-time $50 account verification fee. This verification fee is used to cover the cost for RequestFill to validate that information about the provider is consistent with D&B records and that their service profiles are defined correctly resulting in highly qualified leads.

3. YOUR USE OF REQUESTFILL SERVICES

   RequestFill enables requesters to find service providers specific to their needs for a particular service and request the provider contact them. RequestFill is not the provider of such products or services, nor is it a party to any contract for services between requesters and providers and is not responsible for any of the obligations of parties to such contract. RequestFill does not warrant or guarantee the performance of providers or the outcome of the use of the RequestFill system to identify requester needs and/or providers. RequestFill is not the agent of a requester, nor is it the employer of a provider. RequestFill has no interest or control over any requester or provider using its services.

   When you register on RequestFill, you are agreeing to establish a business relationship with RequestFill and thus agree to be contacted by RequestFill. When you conduct a search on RequestFill and request to be contacted you are agreeing RequestFill may pass your contact information onto the 3rd party providers. You acknowledge that these providers can contact you regarding your request and that you are expressly consenting to such contact by them, or RequestFill if necessary, to fulfill such request via phone, email, mail or other reasonable means, at any of your contact numbers or addresses.

   You agree to indemnify RequestFill and its subsidiaries, affiliates, officers, employees, agents, and co-branders and hold them each harmless from any and all claims or demands, including attorney's fees, made by any third party due to or arising from your use of the RequestFill services or connection to the RequestFill web site or your violation of the Terms and Conditions, or arising from your violation of any rights of a third party. The Terms and Conditions will inure to the benefit of RequestFill's successors, assigns and licensees. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. The failure of RequestFill to exercise or enforce any right or provision of the Terms and Conditions shall not constitute a waiver of such right or provision. You agree that any claim or cause of action arising out of or related to use of the RequestFill services or the Terms and Conditions must be filed within one (1) year after such claim or cause of action arises.

   It is agreed that your use of RequestFill services is for service provider research and matching potential requesters with service providers specific to their needs. Use of RequestFill for any other purpose including advertising or competitive intelligence is prohibited. You acknowledge that RequestFill screens your requests and has the right (but not the obligation) in our sole discretion to deny any request that is in violation of these terms and conditions. If it is determined or suspected by RequestFill in its sole discretion that you are misusing or attempting to misuse or circumvent the RequestFill services or system, or are using or attempting to use it for any inappropriate purposes, including but not limited to activities such as hacking, fraud, advertising, or spamming, RequestFill reserves the right, in its sole discretion, to immediately terminate your access without notice and to commence legal actions or proceedings to seek remedies and/or damages, including but not limited to lost revenue, repairs, legal fees, costs and expenses, and to seek injunctions or other equitable remedies.

4. INFORMATION YOU PROVIDE TO US

   When using RequestFill services, you agree to only complete a request for yourself or another person who has authorized you to share his or her contact information. You promise that all information you provide will be accurate, current and truthful to the best of your knowledge. If you provide any information that is untrue, not current or incomplete, or RequestFill has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, RequestFill has the right to refuse you any current or future use of the RequestFill services. You are responsible for any use of the RequestFill services by persons to whom you intentionally or negligently allow access to your password. Your acceptance of these Terms and Conditions indicates that you expressly consent to our use and disclosure of your personal information in accordance with our Privacy Policy.

5. WEB SITE CONTENT

   You acknowledge that all rights to the content of and information provided on RequestFill, including copyrights, are owned by RequestFill Inc. and are protected worldwide by copyright and other laws. The Content includes both content owned or controlled by RequestFill and content owned or controlled by third parties and licensed to RequestFill. RequestFill authorizes you to view a single copy of the Content on the site solely for your personal, non-commercial use. You may not sell or modify the Content or reproduce, display, publicly perform, distribute, or otherwise use the Content in any way for any public or commercial purpose without the prior written permission of RequestFill or the original author of the material. You agree that you will not use this site for any purpose that is unlawful or prohibited by these terms, conditions, and notices. Use of RequestFill content for any other purpose is expressly prohibited by law, and may result in civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.

   You understand that RequestFill Web site contains links to third parties' web sites ("Third-Party Sites") that are not under the control of RequestFill. RequestFill is providing these links to you solely as a convenience and is not responsible for the content or functioning of any Third-Party Site. The inclusion of links to Third-Party Sites does not imply any endorsement by of the operators of such sites or the products or services offered on the Third-Party Sites. You are responsible for understanding and abiding by the terms and conditions of use required by all Third-Party Sites.

6. GOVERNING LAW

   This Agreement is governed by and construed under the laws of the State of California. Venue and jurisdiction shall be in the State of California. This Agreement constitutes the entire agreement between you and RequestFill and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and RequestFill.

7. QUALIFICATION OF SERVICE PROVIDER

   RequestFill has the right to disqualify a registered service provider if service provider fails to respond to the sales lead in a reasonable way. RequestFill will send advanced disqualification notice to service provider.
